By accessing or using Noteit-MCP (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all users of the Service, including but not limited to users who are browsers, developers, and/or contributors of content.

2. Description of Service

Noteit-MCP is an AI agent configuration and note-taking platform that implements the Model Context Protocol (MCP). The Service enables users to:

  • Create and manage AI agent profiles with composable configurations
  • Store and organize personal notes, documents, and tasks
  • Connect AI assistants (Claude, Cursor, etc.) through MCP protocol
  • Generate and visualize code analysis graphs
  • Manage API tokens and device authentication

3. User Accounts and Registration

3.1 Account Creation

You must create an account through OAuth authentication to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Responsibility

You agree to:

  • Provide accurate and complete information when creating your account
  • Keep your account information updated
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities that occur under your account

4. Acceptable Use Policy

4.1 Permitted Uses

You may use the Service for legitimate business, educational, or personal purposes.

4.2 Prohibited Uses

You agree NOT to:

  • Upload or share illegal, harmful, or offensive content
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service to spam, harass, or harm others
  • Reverse engineer, decompile, or attempt to derive source code
  • Use automated scripts or bots to access the Service without permission
  • Store or transmit malicious code, viruses, or other harmful software

5. Content and Intellectual Property

5.1 Your Content

You retain ownership of all content you create, upload, or store on the Service ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely for the purpose of providing the Service.

5.2 Our Content

The Service, including its software, design, text, graphics, and other materials (excluding Your Content), is owned by us and is protected by copyright, trademark, and other intellectual property laws.

5.3 AI-Generated Content

Content generated through AI interactions via MCP tools may be subject to the terms and policies of the respective AI services (Claude, OpenAI, etc.). You are responsible for ensuring compliance with those services' terms.

6. Subscription Terms and Billing

6.1 Subscription Plans

Noteit-MCP offers both Free and Pro subscription plans. The Free plan provides limited access to features, while the Pro plan ($3.50 USD/month) provides unlimited access to all features and capabilities.

6.2 Payment and Billing

Pro subscriptions are billed monthly in advance through Paddle, our payment processor. You are responsible for providing accurate billing information and keeping it updated.

  • Payments are processed securely through Paddle
  • Billing occurs monthly on the anniversary of your subscription start date
  • Failed payments may result in service suspension
  • Price changes will be communicated 30 days in advance

6.3 Usage Limits

Service limits vary by subscription plan:

  • Free Plan: 5 Agent Profiles, 150 Notes, Basic features
  • Pro Plan: Unlimited Agent Profiles, Unlimited Notes, All features
  • API rate limits may apply to ensure fair usage across all users

6.4 Cancellation and Refunds

You may cancel your subscription at any time. Cancellation stops future billing. New subscribers may request a refund within 14 days of their first payment. See our Refund Policy for detailed information about our 14-day satisfaction guarantee and refund process.

Refund Processing: Approved refunds are processed by Paddle within 5-14 business days. Contact a87088@gmail.com with your order number and account email to request a refund.

7. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and sharing of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

8. Service Availability and Modifications

8.1 Service Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or technical issues.

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to users.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or meet your specific requirements.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED $500 USD (approximately NT$15,000). This limitation provides reasonable protection while maintaining a fair compensation ceiling for users.

Note: This liability limitation means that even if our service causes problems, our maximum financial responsibility is capped at $500 USD. This is standard practice for software services and helps protect small businesses while ensuring users have reasonable recourse.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including attorney's fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any rights of another party.

12. Termination

12.1 Termination by You

You may terminate your account at any time by deleting your account through the Service dashboard or contacting us directly. If you have an active Pro subscription, cancelling your account will also cancel your subscription.

12.2 Termination by Us

We may suspend or terminate your account if you violate these Terms or engage in any activity that we determine is harmful to the Service or other users. Suspension or termination for cause does not entitle you to a refund.

12.3 Effect of Termination

Upon termination, your access to the Service will cease, and we may delete your account and associated data in accordance with our data retention policies. Billing information may be retained for compliance purposes as outlined in our Privacy Policy.

12.4 Subscription Termination

When your Pro subscription ends (through cancellation or non-payment), your account will revert to the Free plan with associated limitations. Your data will be preserved but access may be limited based on Free plan constraints.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of Taiwan (Republic of China). Any disputes arising out of or related to these Terms shall be resolved through binding arbitration or in the courts of Taiwan.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.

16. Compliance and Documentation

To comply with payment processor requirements and legal obligations, we may request documentation from users in certain circumstances:

  • Business documentation for commercial users or high-volume accounts
  • Additional verification as required by our payment partners (Paddle)
  • Documentation to comply with tax reporting or anti-fraud regulations

Failure to provide requested documentation may result in limitation of payment features or account restrictions until verification is complete.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
